2015年3月15日,中共中央、國務院發布《關于進一步深(shen)化電力體制改革的若(ruo)干意(yi)見》(中發[2015]9號)(以下稱9號文),拉(la)開新一輪(lun)電改帷幕。打破壟(long)斷,鼓勵(li)市場競爭,發揮(hui)市場配置資源(yuan)的決定性(xing)作用(yong)是本次(ci)新電改的最大亮點。
上(shang)(shang)(shang)一(yi)次電(dian)(dian)(dian)(dian)(dian)(dian)(dian)力(li)體制(zhi)改革(ge),以2002年4月12日,國務院下發(fa)《電(dian)(dian)(dian)(dian)(dian)(dian)(dian)力(li)體制(zhi)改革(ge)方案》為標志(zhi)。強(qiang)調“實施(shi)廠網(wang)(wang)分開,競價上(shang)(shang)(shang)網(wang)(wang);重組發(fa)電(dian)(dian)(dian)(dian)(dian)(dian)(dian)和電(dian)(dian)(dian)(dian)(dian)(dian)(dian)網(wang)(wang)企業(ye);從縱橫(heng)雙向徹(che)底(di)拆分國家(jia)電(dian)(dian)(dian)(dian)(dian)(dian)(dian)力(li)公司”,形(xing)成了以電(dian)(dian)(dian)(dian)(dian)(dian)(dian)網(wang)(wang)企業(ye)集(ji)電(dian)(dian)(dian)(dian)(dian)(dian)(dian)力(li)輸送、電(dian)(dian)(dian)(dian)(dian)(dian)(dian)力(li)統購統銷(xiao)、調度交易為一(yi)體,上(shang)(shang)(shang)網(wang)(wang)電(dian)(dian)(dian)(dian)(dian)(dian)(dian)價、銷(xiao)售電(dian)(dian)(dian)(dian)(dian)(dian)(dian)價由(you)政府定(ding)價的市(shi)(shi)場(chang)格(ge)局。而本次新電(dian)(dian)(dian)(dian)(dian)(dian)(dian)改,將以“管住中間,放(fang)開兩頭”為原則(ze),放(fang)開發(fa)電(dian)(dian)(dian)(dian)(dian)(dian)(dian)側和售電(dian)(dian)(dian)(dian)(dian)(dian)(dian)側實行市(shi)(shi)場(chang)開放(fang)準入,放(fang)開用戶選(xuan)擇權,形(xing)成多(duo)(duo)買多(duo)(duo)賣(mai),市(shi)(shi)場(chang)決定(ding)價格(ge)的格(ge)局。對于具有自然壟斷屬性的輸配電(dian)(dian)(dian)(dian)(dian)(dian)(dian)網(wang)(wang)環節,則(ze)加強(qiang)政府監管、實行政府定(ding)價,確保電(dian)(dian)(dian)(dian)(dian)(dian)(dian)網(wang)(wang)公平(ping)開放(fang)、市(shi)(shi)場(chang)公平(ping)交易。
一、電力交易機構建設情況
要改變電(dian)(dian)網企業原來“三位一體”的電(dian)(dian)力(li)(li)(li)市(shi)場結構,實現電(dian)(dian)力(li)(li)(li)交(jiao)(jiao)(jiao)易(yi)(yi)自由(you)競爭(zheng),首要任務(wu)就是建立(li)(li)規范(fan)運行的電(dian)(dian)力(li)(li)(li)交(jiao)(jiao)(jiao)易(yi)(yi)機構作為電(dian)(dian)力(li)(li)(li)市(shi)場交(jiao)(jiao)(jiao)易(yi)(yi)的平臺,為電(dian)(dian)力(li)(li)(li)市(shi)場交(jiao)(jiao)(jiao)易(yi)(yi)提供服務(wu)。在(zai)9號(hao)文頒布后(hou),首先建立(li)(li)了北京、廣州兩家電(dian)(dian)力(li)(li)(li)交(jiao)(jiao)(jiao)易(yi)(yi)機構,負責(ze)全國(guo)范(fan)圍內的跨區交(jiao)(jiao)(jiao)易(yi)(yi);隨后(hou)各省區也陸續(xu)開始設立(li)(li)省級電(dian)(dian)力(li)(li)(li)交(jiao)(jiao)(jiao)易(yi)(yi)機構,截至目前,全國(guo)共建立(li)(li)的34個電(dian)(dian)力(li)(li)(li)交(jiao)(jiao)(jiao)易(yi)(yi)機構,包括2個國(guo)家級電(dian)(dian)力(li)(li)(li)交(jiao)(jiao)(jiao)易(yi)(yi)中(zhong)(zhong)心及32個省級電(dian)(dian)力(li)(li)(li)交(jiao)(jiao)(jiao)易(yi)(yi)中(zhong)(zhong)心。其中(zhong)(zhong):
1.區域性電力交易中心:要負(fu)責跨(kua)區(qu)跨(kua)省電(dian)力市場(chang)的建設(she)和運營(ying),負(fu)責落(luo)實(shi)國家計劃、地方政府協議,開展市場(chang)化跨(kua)區(qu)跨(kua)省交易,促進(jin)清潔能源大范圍消(xiao)納,逐步推進(jin)全國范圍內的市場(chang)融合(he),未來開展電(dian)力金(jin)融交易。
2.省級電力交易中心:承擔省(sheng)內電力市(shi)(shi)場(chang)交易平(ping)臺的(de)建設(she)、運營(ying)和管(guan)(guan)理,電力市(shi)(shi)場(chang)主體的(de)注冊和相應管(guan)(guan)理,組織開展(zhan)各類(lei)電力交易,管(guan)(guan)理各類(lei)電力交易合(he)同,提供結算(suan)依據和服(fu)務,提供咨(zi)詢、培訓等市(shi)(shi)場(chang)服(fu)務,披露(lu)和發布(bu)市(shi)(shi)場(chang)信息。
但在電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)中心(xin)構(gou)建的過程中,僅有廣(guang)(guang)州(zhou)電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)中心(xin)和山西、湖北、重慶(qing)、廣(guang)(guang)東(dong)、廣(guang)(guang)西、云南、貴(gui)州(zhou)、海南等8省(區、市(shi))電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)中心(xin)為股份制公(gong)(gong)司(si),其他電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)中心(xin)仍為電(dian)(dian)(dian)網(wang)企業(ye)全資子公(gong)(gong)司(si),尚未(wei)實現電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)機構(gou)相對(dui)獨立和規(gui)(gui)范(fan)運行。為此,國(guo)家發(fa)展改(gai)革(ge)委國(guo)家能源局(ju)2018年(nian)8月(yue)28日發(fa)布《關于(yu)推(tui)進(jin)(jin)電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)機構(gou)規(gui)(gui)范(fan)化(hua)建設的通知》(發(fa)改(gai)經體(ti)〔2018〕1246號(hao)),要求推(tui)進(jin)(jin)電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)機構(gou)股份制改(gai)造,非電(dian)(dian)(dian)網(wang)企業(ye)資本(ben)股比應(ying)不低于(yu)20%,鼓勵按照非電(dian)(dian)(dian)網(wang)企業(ye)資本(ben)占股50%左右完(wan)善股權結構(gou)。各電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)機構(gou)股份制改(gai)造工作應(ying)于(yu)2018年(nian)12月(yue)底前完(wan)成(cheng),并持續推(tui)進(jin)(jin)電(dian)(dian)(dian)力(li)交(jiao)(jiao)易(yi)機構(gou)相對(dui)獨立工作。
2016年12月,由廣(guang)(guang)(guang)(guang)西(xi)電(dian)(dian)網有限(xian)責(ze)任(ren)公司(si)牽頭11家(jia)單位共同出資設立廣(guang)(guang)(guang)(guang)西(xi)電(dian)(dian)力交(jiao)易(yi)(yi)中(zhong)心,2017年2月廣(guang)(guang)(guang)(guang)西(xi)壯(zhuang)族(zu)自治(zhi)區工信委引發《2017年廣(guang)(guang)(guang)(guang)西(xi)電(dian)(dian)力市場化(hua)交(jiao)易(yi)(yi)實(shi)施細則》,完(wan)善細化(hua)電(dian)(dian)力市場交(jiao)易(yi)(yi)規范;2018年為深化(hua)電(dian)(dian)力體制改(gai)革(ge),進一(yi)步擴大交(jiao)易(yi)(yi)規模、豐富(fu)交(jiao)易(yi)(yi)品種(zhong),實(shi)現火(huo)電(dian)(dian)企業(ye)計(ji)劃電(dian)(dian)量全(quan)部放開、參(can)與交(jiao)易(yi)(yi)的用戶全(quan)電(dian)(dian)量市場化(hua)目標(biao),自治(zhi)區工信委結(jie)合本區實(shi)際情(qing)況,編制了《2018年廣(guang)(guang)(guang)(guang)西(xi)電(dian)(dian)力市場交(jiao)易(yi)(yi)實(shi)施方案(an)和實(shi)施細則》。
二、參與電力交易的市場主體
新電(dian)(dian)改后參加電(dian)(dian)力交易的(de)市(shi)場主(zhu)(zhu)(zhu)體主(zhu)(zhu)(zhu)要包(bao)括(kuo)四類:發電(dian)(dian)企業、售電(dian)(dian)公(gong)司、電(dian)(dian)網(wang)企業以及(ji)電(dian)(dian)力用戶。由(you)于各(ge)個省分對(dui)于市(shi)場主(zhu)(zhu)(zhu)體的(de)具體要求不完(wan)全一致(zhi),故(gu)下面筆者將(jiang)以《2018年(nian)廣西(xi)電(dian)(dian)力市(shi)場交易實施方案和實施細則》(2019年(nian)實施方案和細則尚未頒(ban)布)中對(dui)各(ge)市(shi)場主(zhu)(zhu)(zhu)體的(de)規(gui)定為例作簡要介紹。
(一)發電企業準入條件。
1.依法取得核準和備案文件,取得電(dian)力業務許可證(發電(dian)類)。
2.符合國(guo)(guo)家(jia)產業(ye)政策(ce),國(guo)(guo)家(jia)規(gui)定的(de)環保(bao)設施(shi)正常投運且達到環保(bao)標準要求。
3.并網(wang)自備電廠在公平(ping)承擔發電企業社會責任、承擔國家(jia)依法合(he)規設立的(de)政(zheng)府性(xing)基(ji)金以及與產業政(zheng)策相符合(he)的(de)政(zheng)策性(xing)交叉(cha)補貼、支付(fu)系統(tong)備用費后,可作為合(he)格的(de)市(shi)場(chang)主體(ti)參(can)與市(shi)場(chang)交易(yi)。
4.2018年暫定(ding)廣西(xi)電(dian)(dian)網統調火電(dian)(dian)、核(he)電(dian)(dian),興義電(dian)(dian)廠#2機參與市場交易。電(dian)(dian)網安全約束、保(bao)供熱等(deng)電(dian)(dian)量通過市場交易獲取,不再(zai)單獨安排。適時(shi)組織水電(dian)(dian)、風電(dian)(dian)、光伏等(deng)清潔能源參與市場交易。
(二)售電公司準入條件。
1.售電企業準(zhun)入條件按(an)照《售電公司準(zhun)入與退出管理辦法》(發改經體〔2016〕2120號)有關規定執行。
2.參(can)與交易(yi)的(de)售(shou)(shou)電(dian)公司(si)可代理電(dian)力用戶(hu)向發(fa)電(dian)企業(ye)購電(dian)。為培育售(shou)(shou)電(dian)市(shi)場,暫定單個售(shou)(shou)電(dian)公司(si)年度(du)長協交易(yi)電(dian)量不(bu)超過(guo)12億千瓦時(shi)。參(can)與月度(du)集中競價(jia)時(shi),申(shen)報的(de)競爭電(dian)量不(bu)得超過(guo)當(dang)月競爭電(dian)量總規模的(de)20%。
3.售電(dian)公司參與交易前應(ying)先與用戶簽訂代(dai)理合同,交易電(dian)量不得超(chao)過其代(dai)理電(dian)量總和。
4.為防范市場風險,適時實行售電公司信用擔(dan)保(bao)(bao)制度,參(can)與交易(yi)時以銀(yin)行履約(yue)保(bao)(bao)函等方式,提供違約(yue)擔(dan)保(bao)(bao)。
(三)電網企業準入條件。
1.具有獨(du)立法(fa)人資(zi)格,財務獨(du)立核(he)算,取得(de)電力(li)業務許可(ke)證,信用(yong)良(liang)好,能夠獨(du)立承擔民事責任;內部核(he)算的(de),須經法(fa)人單位授權。
2.具(ju)備安全(quan)穩定(ding)的輸配電能(neng)力。
(四)電力用戶準入條件。
1.符合國家及廣西的產業政策及節(jie)能環保要求,落后產能、違規建設和環保不(bu)達標、違法排(pai)污項目不(bu)得參與(yu)。
2.符合電網接入規范,安(an)裝電能(neng)計量(liang)(liang)自(zi)動(dong)化(hua)終(zhong)端并接入主電網計量(liang)(liang)自(zi)動(dong)化(hua)系統,滿足電網安(an)全技術要求(qiu)。
3.具備零點抄(chao)表(biao)條件,不(bu)拖欠電(dian)費。
4.35kV及以上大(da)工(gong)業(ye)用(yong)戶參與(yu)市場(chang)交(jiao)易,適時組織重(zhong)點特色(se)園區10kV大(da)工(gong)業(ye)用(yong)戶參與(yu)市場(chang)交(jiao)易。
5.2016年(nian)11月(yue)1日(ri)-2017年(nian)10月(yue)31日(ri)實際(ji)外購(gou)電(dian)(dian)(dian)量(以電(dian)(dian)(dian)網企業統計電(dian)(dian)(dian)量為準)在3000萬千瓦時及以上電(dian)(dian)(dian)力(li)(li)用戶(hu),可(ke)選(xuan)擇直(zhi)接(jie)向(xiang)發電(dian)(dian)(dian)企業購(gou)電(dian)(dian)(dian)或(huo)由售(shou)電(dian)(dian)(dian)公(gong)司代理購(gou)電(dian)(dian)(dian),但每次交(jiao)易只(zhi)能(neng)(neng)選(xuan)擇一種購(gou)電(dian)(dian)(dian)方式;2016年(nian)11月(yue)1日(ri)-2017年(nian)10月(yue)31日(ri)實際(ji)外購(gou)電(dian)(dian)(dian)量在3000萬千瓦時以下的電(dian)(dian)(dian)力(li)(li)用戶(hu),只(zhi)能(neng)(neng)選(xuan)擇由售(shou)電(dian)(dian)(dian)公(gong)司代理購(gou)電(dian)(dian)(dian)。選(xuan)擇由售(shou)電(dian)(dian)(dian)公(gong)司代理購(gou)電(dian)(dian)(dian)的電(dian)(dian)(dian)力(li)(li)用戶(hu),每次交(jiao)易只(zhi)能(neng)(neng)選(xuan)擇一家售(shou)電(dian)(dian)(dian)公(gong)司。
三、電力市場交易方式及種類
2016年(nian)12月(yue)29日國(guo)(guo)家發(fa)改委、能源局印發(fa)《電力(li)(li)中長期交易基(ji)本(ben)規(gui)(gui)則(ze)(暫行)》(發(fa)改能源【2016】2784號),第(di)二十二條(tiao)規(gui)(gui)定(ding):“電力(li)(li)中長期交易可以采取雙邊協(xie)商、集中競(jing)價、掛牌等方式進行。”第(di)九(jiu)十七條(tiao)規(gui)(gui)定(ding):“國(guo)(guo)家能源局派出機構和地(di)方政府電力(li)(li)管理等部門共同組織省(區(qu)、市)電力(li)(li)交易機構根據本(ben)規(gui)(gui)則(ze)擬定(ding)各省(區(qu)、市)電力(li)(li)交易實施細則(ze)。”
各省份電(dian)力管理(li)部門已相繼結合自身實際(ji)交易情(qing)況制定電(dian)力交易實施(shi)方案與實施(shi)細則。
(一)以廣西電力交易中心為例
根(gen)據2018年廣(guang)西壯(zhuang)族自治(zhi)(zhi)區廣(guang)西壯(zhuang)族自治(zhi)(zhi)區工(gong)業和(he)信(xin)息(xi)化(hua)廳印發的(de)《2018年廣(guang)西電力市(shi)場(chang)交(jiao)易實(shi)施(shi)方案》和(he)《2018年廣(guang)西電力市(shi)場(chang)交(jiao)易實(shi)施(shi)細則》(桂工(gong)信(xin)運(yun)行[2017]1046號),所規定的(de)交(jiao)易方式(shi)包(bao)括(kuo):市(shi)場(chang)交(jiao)易主要(yao)采用雙(shuang)邊(bian)協商(shang)、掛牌、集中競價等(deng)方式(shi)開展。
廣西電力交(jiao)易市場中涉及(ji)的交(jiao)易方(fang)式及(ji)種類(lei)如下圖:
(二)其他省份電力交易方式
1.海南電力交易中心:
2018年10月(yue)22日,海南省(sheng)工(gong)業(ye)和信息化(hua)廳關于印發《海南省(sheng)電力(li)直接交(jiao)易暫行辦法(fa)》的通知,當(dang)前(qian)只開展年度(du)交(jiao)易,采用雙邊協商及(ji)雙邊掛牌(pai)兩(liang)種交(jiao)易方(fang)式。后(hou)續視市場(chang)建設情況,再增加月(yue)度(du)集中競(jing)價和合同轉讓等交(jiao)易品種。
2.昆明電力交易中心:
在(zai)云南省工業和信(xin)息(xi)化廳印發的2019年(nian)云南電(dian)力市(shi)場化交(jiao)(jiao)易(yi)(yi)實(shi)(shi)施(shi)方案(an)及(ji)云南電(dian)力市(shi)場交(jiao)(jiao)易(yi)(yi)組織(zhi)實(shi)(shi)施(shi)細則(ze)中,詳細規定了雙邊協商(shang)、集中撮(cuo)合、自(zi)主(zhu)掛牌(pai)(pai)、連續(xu)掛牌(pai)(pai)交(jiao)(jiao)易(yi)(yi)等方式(shi)。
3.貴州電力交易中心:
在2017年《貴(gui)州省(sheng)電力中長期交(jiao)(jiao)(jiao)易規則(ze)(試行)》(黔監能市(shi)場〔2017〕112號(hao))及2019年貴(gui)州電力市(shi)場化交(jiao)(jiao)(jiao)易工作(zuo)實施(shi)方案及云南(nan)電力市(shi)場交(jiao)(jiao)(jiao)易組織實施(shi)細則(ze)中規定(ding),貴(gui)州的交(jiao)(jiao)(jiao)易模式也包含(han):雙邊(bian)協商、集中競價(jia)及掛牌交(jiao)(jiao)(jiao)易。
4.遼寧電力交易中心:
2017年6月(yue)30日《遼寧省電(dian)(dian)力中長期交易基本(ben)規(gui)則(暫行)》第三(san)條規(gui)定:主(zhu)要(yao)是指符合準入條件的(de)發電(dian)(dian)企(qi)業、電(dian)(dian)力用戶、售電(dian)(dian)公司等(deng)(deng)市(shi)場(chang)主(zhu)體,通過自主(zhu)協商、集中競價、掛牌等(deng)(deng)市(shi)場(chang)化方式,開展的(de)多年、年、月(yue)等(deng)(deng)日以上的(de)電(dian)(dian)力交易。
5.湖南電力交易中心:
2017年(nian)9月發(fa)布《湖(hu)南省(sheng)電力中(zhong)長期交易(yi)規(gui)(gui)則(試行)》(湘能(neng)監市(shi)場〔2017〕48號(hao));2018年(nian)3月發(fa)布《湖(hu)南省(sheng)電力中(zhong)長期交易(yi)規(gui)(gui)則2018.01版》詳細規(gui)(gui)定了價格(ge)機制和出清算法。
綜上可知,各省交易(yi)(yi)(yi)方式(shi)基本(ben)都包含雙(shuang)邊(bian)協商及掛(gua)牌交易(yi)(yi)(yi),同時再根據各自交易(yi)(yi)(yi)需要的實際情(qing)況細化(hua)交易(yi)(yi)(yi)品種。
四、新電改后引發的法律關系變化
(一)交易模式的變化
電(dian)改實(shi)施前,電(dian)力銷售方面(mian)以電(dian)網(wang)企(qi)業(ye)統購統銷為(wei)主,發電(dian)企(qi)業(ye)與電(dian)網(wang)企(qi)業(ye)簽(qian)訂購售電(dian)合同(tong)、并網(wang)調(diao)度(du)協議,電(dian)網(wang)企(qi)業(ye)與用戶簽(qian)訂供用電(dian)合同(tong)。
電(dian)(dian)(dian)改實施后,計劃發用(yong)(yong)電(dian)(dian)(dian)部(bu)分(fen)交易(yi)模(mo)式與電(dian)(dian)(dian)網企業(ye)(ye)統(tong)購(gou)統(tong)銷(xiao)模(mo)式一致,市場交易(yi)部(bu)分(fen)可以有兩種(zhong)交易(yi)模(mo)式,一是發電(dian)(dian)(dian)企業(ye)(ye)與大用(yong)(yong)戶直(zhi)接交易(yi),二是發電(dian)(dian)(dian)企業(ye)(ye)售(shou)電(dian)(dian)(dian)給售(shou)電(dian)(dian)(dian)公(gong)司,售(shou)電(dian)(dian)(dian)公(gong)司再售(shou)電(dian)(dian)(dian)給用(yong)(yong)戶,電(dian)(dian)(dian)網企業(ye)(ye)承擔輸配電(dian)(dian)(dian)服務,從統(tong)購(gou)統(tong)銷(xiao)模(mo)式中的(de)“電(dian)(dian)(dian)力(li)批發商”角色轉換為“電(dian)(dian)(dian)力(li)承運人”角色。
(二)法律關系的變化
1.合同關系變化:
傳統模式(shi)下發電(dian)(dian)企(qi)業與(yu)電(dian)(dian)網企(qi)業之間(jian)簽訂《購(gou)售電(dian)(dian)合(he)(he)同(tong)》,電(dian)(dian)網企(qi)業與(yu)用(yong)(yong)戶(hu)之間(jian)簽訂《供用(yong)(yong)電(dian)(dian)合(he)(he)同(tong)》,均(jun)具有買賣合(he)(he)同(tong)的性質。
新(xin)電(dian)(dian)改模式下,發電(dian)(dian)企(qi)業(ye)(ye)與(yu)(yu)售電(dian)(dian)公司(si)或(huo)大(da)工(gong)業(ye)(ye)電(dian)(dian)力(li)用(yong)戶之間(jian)的(de)購售電(dian)(dian)合(he)同(tong)、發電(dian)(dian)企(qi)業(ye)(ye)或(huo)電(dian)(dian)力(li)用(yong)戶與(yu)(yu)電(dian)(dian)網企(qi)業(ye)(ye)之間(jian)的(de)輸配電(dian)(dian)服務合(he)同(tong)、售電(dian)(dian)公司(si)與(yu)(yu)電(dian)(dian)力(li)用(yong)戶之間(jian)的(de)代理合(he)同(tong)等多個合(he)同(tong)關(guan)(guan)系組合(he)構(gou)成一個完整的(de)電(dian)(dian)力(li)交易關(guan)(guan)系。
2.結算關系變化
傳統模(mo)式下電(dian)費由電(dian)網企業收取并(bing)開具發(fa)票;
